Event Terms and Cancellation Policy

1. Sponsor and Exhibitor event space provided by Senior Trade Shows includes only the items specified in the Sponsor and Exhibitor packages lists. Furnishings, decorations, signage, and anything else needed are the Sponsor's and Exhibitor's responsibility. All exhibits must be set up and stocked completely by the time designated by Senior Trade Shows and promptly removed from the facility at the end of each event. If any electricity is needed, Sponsors and Exhibitors must provide their own 3-wire grounded extension cords. Electricity may require an additional fee. All aisles must be kept free of any material or item that obstructs the free flow of our Senior Guests or poses a tripping hazard. If additional event space is needed, please contact Senior Trade Shows for multiple-space pricing.
2. All decorations and signage must be flameproof and pass inspection by all applicable authorities.
3. All displays, interviews, conferences, live models, sales, and distribution of literature, etc. must be made WITHIN the event space assigned lo the Sponsor or Exhibitor. Sending staff around the event facility distributing materials or advertising is not permitted.
4. Sponsors and Exhibitors must staff their event space during all hours that the event is ongoing.
5. NO goods or displays may be removed from any event while it is ongoing, other than items distributed or sold to senior guests.
6. No food may be sold for consumption at any event. Prepackaged food products may be sold for off-premises consumption. All food and beverage sampling in event spaces must be distributed in sample portions and the Sponsor's or Exhibitor's operations must comply with all applicable health, safety, and other laws and regulations. All other outside food or beverages are prohibited.
7. Senior Trade Shows reserves the right to change event space assignments without advance notice to Sponsors or Exhibitors.
8. No Sponsor or Exhibitor may sublet event space to, or distribute or sell literature or products for, any person, business, or other organization that is NOT registered as a Sponsor or Exhibitor with Senior Trade Shows. Any Sponsor or Exhibitor violating this provision will be expelled from the event without any refund of registration fees.
9. All sales are final. Event space reservations will not be made until Senior Trade Shows has received and confirmed full payment. All returned checks will incur a $50 administrative fee and the issuer will pay all related bank charges and legal expenses incurred by Senior Trade Shows. Any payments returned or otherwise delayed for any reason will bear interest at 18% per annum from the date due until the date paid.
10. Senior Trade Shows reserves the right lo name exclusive Sponsors and Exhibitors for each event.
11. Senior Trade Shows reserves the right in its sole discretion to prohibit or decline any exhibit, exhibitor, or proposed exhibit or exhibitors.
12. No insurance coverage of any kind is provided by Senior Trade Shows or any event facility. Sponsors and Exhibitors may obtain such coverage at their own expense. Sponsors and Exhibitors bear exclusive risk of loss for all property brought into event facilities.
13. Except as may be expressly stated otherwise in this contract, Senior Trade shows disclaims all representations and warranties of any kind, whether express, implied, or statutory, including, without limitation, representations or warranties of any particular results from participation in Senior Expos 2022 and the implied warranties of merchantability or fitness for a particular purpose.
14. By submitting the Application and Contract, Sponsors and Exhibitors release, protect, defend, indemnify, and hold harmless Senior Trade Shows and each of its affiliated entities, and its and their joint owners and joint ventures, and their respective officers, directors, employees, representatives, and agents, (collectively, the "Integrity Health Group"), from and against all claims, demands, expenses, damages, liabilities, and causes of action of every kind and character, and without regard to fault (whether active or passive) or the cause or causes thereof, of any person (including, but not limited to, the partial, concurrent, or sole negligence of any member of the Senior Trade Shows or any theory of strict liability or defect of premises (whether or not preexisting the date of the contract) arising out of Sponsors' or Exhibitors' participation in any Senior Expos 2024 event.
15. In case of any legal proceedings among the parties, the prevailing parties shall be entitled to recover all of their reasonable attorneys' fees and all costs related to the proceedings from the other parties.
16. Miscellaneous.
(a) This contract, including all attachments, is the entfre agreement between the parties, and supersedes all prior agreements and understandings.
(b) This contract may not be changed except in writing signed by both parties.
(c) Except as expressly provided otherwise in this contract, (i) none of its provisions may be waived unless except in writing signed by both parties, and (ii) a party's waiver of a breach will not be constmed as a waiver of any other or subsequent breach.
(d) Sponsors and Exhibitors may not assign this contract to any other party without the prior written consent of Senior Trade Shows. Subject to the preceding sentence, this contract is binding on, inures to the benefit of, aud is enforceable by both parties and their respective successors and assigns. No party has any third party beneficiary rights of auy kind under this contract.
(e) This contract will be governed by and construed in accordance with the procedural and substantive laws of the State of Texas, without regard to its choice of laws or conflicts of laws provisions. Venue for any legal proceedings shall be in the federal or state courts located in Harris County, Texas, and all parties consent to the jurisdiction of such courts over any matter arising out of or related to this contract and/or any event conducted by Senior Trade Shows.
(J) If any court of competent jurisdiction holds any provision of this contract to be invalid or void, that provision will be severed from the remainder of this contract and will in no way affec.r any other provision of the contract.
(g) All notices, requests, demands, and other communications under this contract must be in writing and will be deemed given on the date of service if served personally, or on the third day after mailing if mailed by first class mail, registered or certified, postage prepaid, or on the second day if faxed or emailed.
(h) This contract may be executed simultaneously in one or more counterparts, each of which will be deemed an original, but all of which together will constitute one and the same instrument. Facsimile signatures will be acceptable to all parties.
17. By submitting the Application and Contract, Sponsors and Exhibitors acknowledge and agree to the terms and conditions set forth above.
